THE KNOWLEDGE HUB
Dealosure is building software to help business buyers, sellers, and brokers in Canada and the US explore seller financing when the buyer’s funding falls short. Planned tools cover funding-gap and seller-note scenarios before closing, then confirmed schedules, payment records, documents, and reminders through payoff. Contact the team to discuss your deal and product availability.
Vendor take-back financing is an arrangement where a business seller accepts part of the purchase price over time. The buyer owes that amount to the seller under agreed terms. It is also called vendor financing or a seller note. A seller note can help bridge a funding gap if the seller agrees and the proposed structure works for the parties and any lenders. Dealosure is being designed to help explore the scenario and organize the ongoing obligation.
It can, if the seller agrees to accept part of the price over time and the structure is acceptable to the parties and any lenders. For example, on a C$2 million purchase with C$1.7 million in buyer and lender funding, a C$300,000 seller note could cover the purchase-price gap. This excludes fees, taxes, and working-capital needs. Dealosure’s planned tools help explore the figures; they do not provide financing, approve a loan, establish affordability, or guarantee a closing.
No. The initial product is being designed as workflow software. It will not hold funds, initiate payments, lend money, issue legal notices, or guarantee repayment. Buyers and sellers use their own payment arrangements and professional advisors.
